Elkwai Data
Data Service Terms
Last updated: August 30, 2026 · Version 2026-08-30 · Binding upon public commerce activation
These terms govern access to and use of Elkwai Solutions, LLC data products, protected dashboards, APIs, Model Context Protocol tools, downloads, webhooks, reports, historical demonstrations, and managed data services that link to these terms (the “Service”). A product order, checkout record, statement of work, or enterprise agreement may add product-specific terms. If there is a conflict, the signed enterprise agreement controls, followed by the order or statement of work, the product-specific license, and then these terms.
1. Agreement and organizational authority
The self-service shop is for purchases made primarily for business or professional purposes. By accepting these terms through checkout, an order, an acceptance control, or use of a paid Service, you agree to them. You represent that you are acting for a business or professional organization and are authorized to bind it. If either statement is untrue, do not use self-service checkout and contact Elkwai.
2. Service scope and product evidence
Elkwai provides source-backed records, normalized fields, release metadata, analytical methods, alerts, reports, and decision-support tools. Sources, coverage, fields, refresh targets, freshness service levels, quotas, formats, and support vary by product and plan. A dashboard label such as “quality passed,” “bundle verified,” or “within freshness SLA” describes the recorded state of a particular release; it is not a guarantee that the data is complete, error-free, suitable for every purpose, or free from later source corrections.
Historical samples are evaluation material. They are deliberately aged and may not be treated as current or used for operational, legal, security, safety, medical, financial, procurement, employment, or other consequential decisions.
3. Accounts, credentials, and security
You must provide accurate account information, protect credentials, restrict them to authorized users and applications, and promptly revoke or report a compromised credential. API keys, OAuth grants, MCP authorizations, webhook secrets, sessions, and download links may not be shared beyond the users, services, seats, scopes, and devices permitted by the applicable plan.
Elkwai may suspend a credential, capability, product, account, source, or delivery when reasonably necessary to address unauthorized access, abuse, nonpayment, source-rights restrictions, a security risk, or a legal requirement. No online service can guarantee absolute security.
4. Orders, payment, renewal, and provisioning
Price, billing interval, limits, renewal terms, taxes, refunds, included capabilities, and delivery are stated at checkout or in the applicable order. Paid access activates only after Elkwai verifies the payment event and matches it to the purchased product, plan, price, currency, mode, and account. A checkout attempt, failed payment, unsigned message, or manually edited record does not create an entitlement.
Unless an order states otherwise, a subscription renews for the displayed interval until cancelled through the available billing controls. Cancellation stops future renewal and does not ordinarily refund the current paid period. Rights that cannot lawfully be waived—including mandatory cancellation, refund, or warranty rights—remain in effect.
5. License and permitted internal use
During an active entitlement, Elkwai grants the named customer a limited, non-exclusive, non-transferable, revocable right to use the purchased product and permitted outputs for the customer’s internal business purposes. The customer may create internal analyses, dashboards, reports, and workflow decisions, combine permitted output with customer-owned material, and retain internal work product that does not expose a substitute copy of the Service.
This is a license to use the ordered product. It is not a sale of Elkwai software, source registries, compilation, schemas, taxonomies, scoring methods, models, platform, credentials, or delivery infrastructure. External distribution, client delivery, embedding, resale, white-label use, public display, model training, or use by affiliates requires express written permission.
6. Prohibited conduct
- Do not bypass authentication, payment, entitlements, source restrictions, rate limits, quotas, robots controls, or other technical safeguards.
- Do not scrape, mirror, bulk-copy, reconstruct, sublicense, resell, or publish the Service or private output outside the applicable license.
- Do not rotate identities, credentials, addresses, clients, or accounts to evade limits or authorization decisions.
- Do not probe, disrupt, overload, reverse engineer, or attempt to obtain another customer’s records, credentials, watchlists, activity, or private delivery.
- Do not remove source citations, timestamps, provenance, limitations, rights notices, or required attribution.
- Do not use the Service for fraud, spam, unlawful marketing, harassment, discrimination, reidentification, unlawful surveillance, sensitive-person inference, biometric identification, or targeted advertising.
- Do not use the Service to determine an individual’s eligibility for credit, employment, housing, insurance, government benefits, or another purpose governed by the Fair Credit Reporting Act.
7. API and MCP rules
API and MCP access is limited by the documented scopes, product entitlements, quotas, concurrency, payload sizes, rate limits, and tool restrictions. Private and paid capabilities require a verified purchase or an explicit, time-bounded operator grant. You are responsible for reviewing requested MCP scopes and for actions taken by software after receiving an output. Live financial order placement, autonomous high-impact decisions, and access to regulated personal data require a separate written agreement.
8. Sources, rights, and customer data
Some products are derived from public, licensed, or provider-controlled sources. Source citations, hashes, timestamps, lineage, and rights records are provenance evidence; they do not expand the rights available from a source. Narrower source terms, attribution, retention limits, privacy restrictions, and withdrawal requirements control where applicable. Elkwai may pause, correct, remove, or replace affected data when a source, right, law, provider term, privacy review, or quality control requires it.
You retain your rights in information you submit and grant Elkwai only the rights needed to host, secure, process, deliver, and support it. Do not submit payment-card data, authentication secrets, health information, children’s data, biometric identifiers, government identifiers, precise personal location, or other sensitive personal information unless a written agreement expressly permits it and required safeguards are in place.
9. Consequential and regulated decisions
The Service is research and decision-support material. It does not make Elkwai a broker, dealer, investment adviser, law firm, medical provider, credit bureau, safety certifier, regulator, or government decision maker. Regulatory, vulnerability, weather, financial, legal, medical, procurement, security, and safety outputs may be delayed, incomplete, inaccurate, or unsuitable. Apply qualified human review and independently verify material facts before a consequential action.
10. Confidentiality and privacy
Each party will use the other party’s non-public information only to provide or use the Service, protect it with reasonable safeguards, and disclose it only to people and providers who need it and are obligated to protect it. Elkwai handles personal information as described in the Elkwai Data Privacy Notice and Elkwai Solutions Privacy Policy.
11. Availability, support, and changes
Support and service levels apply only when stated in the plan or order. Sources and third-party infrastructure may be delayed, unavailable, corrected, or withdrawn. Elkwai may change a feature or source where reasonably required for security, law, source rights, provider restrictions, or service protection. Material changes to these terms apply prospectively, with notice or additional acceptance where required by law.
12. Suspension and termination
Access may be suspended or terminated for material breach, nonpayment, abuse, security risk, unlawful use, source-rights restriction, or legal requirement. Where practical, Elkwai will provide notice and an opportunity to cure, except for urgent security, fraud, or legal situations. When the entitlement ends, access rights end and copies must be deleted where the order, product license, or source terms require deletion.
13. Warranties, disclaimers, and liability
Elkwai warrants that paid professional services will be performed in a professional manner substantially consistent with the applicable documentation. To the maximum extent permitted by law, data products and automated services are provided “as is” and “as available.” Elkwai disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, and completeness except where a warranty cannot lawfully be disclaimed.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profit, revenue, goodwill, opportunity, or data. Elkwai’s aggregate liability for a paid plan is limited to fees paid for that plan during the six months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited, to fraud or willful misconduct, to payment obligations, or to unauthorized use of the Service.
14. Governing law and general terms
Unless mandatory law requires otherwise, these terms are governed by Illinois law without regard to conflict-of-law rules. State and federal courts with lawful jurisdiction in Illinois may hear disputes, and each party consents to their personal jurisdiction where permitted by law. Invalid provisions will be narrowed or severed to the minimum extent necessary. Failure to enforce a provision is not a waiver. The parties are independent contractors.
